Further Delays Haunt Hanover in 10-K Filing

Waiting for Hanover Direct’s 2004 annual report? You’ll have to keep waiting. The Weehawken, NJ-based multititle mailer says it is experiencing continuing delays in completing the audit of its 2004 year-end statements. As a result, Hanover is still unable to file its annual report for the year ended Dec. 25, 2004, or its quarterly reports for the fiscal quarters ended Sept. 25, 2004, and March 26, 2005, nor will it be able to file its Form 10-Q for the second fiscal quarter of 2005.

According to a search on the Securities and Exchange Commission filings, the last quarterly report filed by Hanover was for the quarter ended June 30, 2004.

CEO Wayne Garten did not return calls by press time. In a statement, however, Garten said, “We are extremely disappointed that further delays in completing the year-end audit process prevent us from filing our 2004 10-K and all past due 10-Q’s. We believe that the company has completed its work and we continue to cooperate fully with our auditors and are assisting them in every way possible. We are awaiting their final review and sign off on the 2004 audit.”
