New York-based Alloy filed with the Securities and Exchange Commission on Sept. 7 to spin off its catalog/retail division from its marketing and media services unit. The spinoff company is named Delia’s after one of the company’s three catalog brands; the other titles are CCS and Alloy. Delia’s and Alloy sell apparel and accessories for teen girls; CCS sells extreme-sports gear.
In the filing, Alloy proposes to give shareholders one share of Delia’s common stock for every two shares of Alloy stock. It expects the deal to be completed by Jan. 30, 2006, the end of its fiscal year.
